Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the Invoral website, applications, and services (together, the "Service"), operated by Invoral ("we", "us", "our"), a sole proprietorship based in Chennai, Tamil Nadu, India. By creating an account, starting a free trial, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Please also read our Privacy Policy and Cancellation & Refund Policy, which are incorporated into these Terms by reference.

1. Definitions

• "You" / "User" — the individual or business entity that registers for or uses the Service.
• "Account" — your registered Invoral account.
• "Subscription" — a paid plan giving access to paid features for a billing cycle (monthly or annual).
• "User Content" — data you enter or upload, including your business details, client details, invoices, proformas, quotations, and documents.
• "Payment Processor" — Razorpay Software Private Limited ("Razorpay"), our third-party payment gateway for Subscription fees.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract. If you use the Service on behalf of a business, you represent that you are authorised to bind that business to these Terms, and "you" includes that business.

3. The Service

Invoral is a software tool that helps you create GST-style invoices, proforma invoices and quotations, apply GST and discounts, generate PDFs (including a UPI-QR for your clients to pay you), manage clients, and view billing analytics.

4. Accounts & Security

You must provide accurate registration information and keep it updated. You are responsible for safeguarding your login credentials and for all activity under your Account. Notify us immediately at admin@invoral.com of any unauthorised use. We may refuse, suspend, or terminate accounts at our discretion (see Section 13).

5. Free Trial

We may offer a one (1) month free trial of paid features. Trial availability, duration, and features are at our discretion and may change. At the end of the trial, unless you subscribe to a paid plan, paid features may become unavailable; your Account and data are otherwise retained subject to these Terms. We may limit one trial per user/business and withdraw a trial if we suspect abuse.

6. Subscriptions, Fees & Billing

6.1 Plans. Paid features require a Subscription. Current plans, features, and prices are shown at checkout and may be updated from time to time.

6.2 Payment Processor. All Subscription payments are processed by Razorpay. By subscribing, you also agree to Razorpay's applicable terms and privacy policy. We do not store your full card or bank credentials; these are handled by Razorpay under applicable PCI-DSS standards.

6.3 Auto-renewal. Subscriptions renew automatically at the end of each billing cycle (monthly or annual) at the then-current price, using your selected payment method, until you cancel. By subscribing you authorise us (via Razorpay) to charge the recurring fee.

6.4 Taxes. Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any GST or other taxes on your Subscription, which will be added where applicable.

6.5 Price changes. We may change prices or plan features. Changes apply from your next billing cycle, and we will give reasonable prior notice. Continuing to use the Service after a change takes effect constitutes acceptance.

6.6 Failed payments. If a charge fails, we may retry, downgrade, or suspend access to paid features until payment is made.

7. Cancellation & Refunds

7.1 Cancel anytime. You may cancel your Subscription at any time from your Account settings. Cancellation stops future renewals; your paid access continues until the end of the current paid billing period, after which it will not renew.

7.2 No refunds. Except where required by law, all Subscription fees are non-refundable. We do not provide refunds or credits for partially used periods, unused features, or downgrades. Full details are in our Cancellation & Refund Policy.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful, fraudulent, or misleading purpose, including issuing false or fraudulent invoices.
• Infringe any third party's rights.
• Upload malware or attempt to breach, disrupt, reverse-engineer, scrape, or overload the Service.
• Resell, sublicense, or provide the Service to third parties except for your own business use.
• Circumvent usage limits or access controls.
• Use the Service to violate any tax, GST, or other law.

We may investigate and take action, including suspension, for any breach.

9. User Content & Data

9.1 Your ownership. As between you and us, you own your User Content. You grant us a limited, non-exclusive licence to host, process, store, and display it solely to provide and improve the Service.

9.2 Your responsibility. You represent that you have the rights and consents to submit your User Content (including your clients' personal data) and that it does not violate any law or third-party right.

9.3 Security. We apply reasonable technical and organisational measures, including encryption of sensitive client data at rest and strict per-account isolation. No system is perfectly secure; you use the Service at your own risk. Our handling of personal data is described in the Privacy Policy and complies with applicable Indian data-protection law, including the Digital Personal Data Protection Act, 2023 (DPDP Act).

10. Intellectual Property

The Service, including its software, design, branding, logos, and content (excluding User Content), is owned by Invoral and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service per these Terms. You may not copy, modify, or create derivative works of the Service.

11. Third-Party Services

The Service integrates third-party services (e.g., Razorpay for payments, UPI for QR codes, email delivery). We are not responsible for third-party services, and your use of them may be subject to their own terms.

12. Disclaimers & Limitation of Liability

12.1 As-is. The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or that outputs are error-free or tax-compliant.

12.2 Limitation. Subject to Section 12.3, and to the maximum extent permitted by law, Invoral and its owner, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business, arising from your use of the Service — including any tax penalty, filing error, or payment dispute. Our total aggregate liability for any claim will not exceed the Subscription fees you paid to us in the three (3) months preceding the event giving rise to the claim.

12.3 Exceptions. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for: (a) fraud or fraudulent misrepresentation; (b) wilful misconduct or gross negligence; or (c) death or personal injury caused by negligence.

13. Suspension & Termination

We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay, or if required for legal, security, or operational reasons. You may stop using the Service at any time. On termination, your right to use the Service ends; we may delete your data after a reasonable retention period, subject to law and the Privacy Policy.

14. Changes to the Terms

We may update these Terms from time to time. The "Last updated" date reflects the latest version. Material changes will be notified by reasonable means. Continued use after changes take effect constitutes acceptance.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of India. The courts at Chennai, Tamil Nadu shall have exclusive jurisdiction over any dispute, subject to applicable law.

These Terms, together with the Privacy Policy and Cancellation & Refund Policy, constitute the entire agreement between you and Invoral. If any clause is found invalid, it is severed and the rest survives. No waiver by delay; we may assign these Terms, you may not without our consent; nothing creates a partnership or agency; neither party is liable for events beyond reasonable control (force majeure).
